Terms of Use

Fermi Strategies, Inc. and its affiliates, if any, referred to in these Terms as Fermi Strategies, Search990, we, us, or our, provide and make available the Search990 website, related interfaces, documentation, data displays, research tools, and AI-assisted features, collectively the Site. These Terms of Use govern your access to and use of the Site.

By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, you should not access or use the Site.

Your use of the Site is also subject to the Search990 Privacy Policy. If you enter into a separate written agreement with Fermi Strategies for specific products, services, data access, or API usage, that separate agreement will govern those paid or separately contracted services to the extent it conflicts with these Terms.

We may update these Terms from time to time. Revised Terms become effective when posted on the Site. Your continued use of the Site after revised Terms are posted means that you accept the revised Terms. If a change is not acceptable to you, your sole remedy is to stop using the Site.

The Site contains software, code, interfaces, text, graphics, documentation, search outputs, data displays, AI-generated responses, indexes, metadata, and other materials, collectively Content. Content provided by Fermi Strategies, excluding User Content and public source records, is Fermi Strategies Content.

Fermi Strategies Content is protected by copyright, trademark, trade secret, and other laws. Subject to these Terms, you may access and use the Site for lawful nonprofit research, discovery, analysis, and related internal purposes. Except as expressly permitted, you may not copy, reproduce, distribute, publicly display, modify, sell, sublicense, frame, scrape, reverse engineer, or create derivative works from the Site or Fermi Strategies Content.

Search990, GrantAtlas, Fermi Strategies, and related names, logos, product names, and design elements are trademarks or service marks of Fermi Strategies or its licensors. You may not use those marks without prior written permission, except as allowed by law.

The Site may link to third-party websites, services, filings, databases, or source records. Those links are provided for convenience and source discovery. We do not control third-party sites and are not responsible for their content, availability, security, accuracy, or policies. You access third-party sites at your own risk.

You may provide suggestions, comments, ideas, or other feedback about the Site. You grant Fermi Strategies a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use that feedback for any purpose without restriction or compensation to you.

You are responsible for any questions, prompts, files, text, feedback, or other content you submit to the Site, collectively User Content. You represent that you have the rights needed to submit your User Content and that your User Content does not violate law or the rights of others.

You grant Fermi Strategies a non-exclusive, worldwide, royalty-free, fully paid, transferable, sublicensable license to host, store, process, transmit, display, reproduce, modify, and use your User Content as needed to operate, maintain, secure, analyze, improve, and provide the Site.

Do not submit confidential, privileged, sensitive, or personal information unless it is necessary for your use of the Site and you have the right to provide it. AI-assisted research features may process your prompts and context to retrieve records and generate responses.

We may preserve, remove, restrict, or disclose User Content when we believe it is reasonably necessary to operate the Site, enforce these Terms, comply with law, respond to legal process, address security or abuse, or protect the rights, safety, or property of Fermi Strategies, users, or the public.

You agree not to misuse the Site or help anyone else misuse the Site. Prohibited conduct includes:

Search990 and GrantAtlas are built on IRS Form 990, Form 990-PF, and other public nonprofit filing and grant disclosure data. Public records may be delayed, incomplete, amended, duplicated, inconsistently reported, or changed by source providers. Coverage reflects the source records available to Search990 and legally required disclosures only.

The Site may use automated parsing, entity resolution, matching, semantic search, keyword search, embeddings, HNSW indexes, ranking, summarization, and AI-assisted responses. These tools are designed for research and discovery, but they may produce incomplete, outdated, or incorrect outputs.

You are responsible for verifying important facts against source filings and other authoritative records. Search990 does not provide legal, tax, accounting, investment, financial, fundraising, grantmaking, or compliance advice. Any information on the Site is provided for informational purposes only.

If you believe material on the Site infringes your copyright, you may send a notice to hello@fermistrategies.com with the subject line DMCA Takedown Request. You may also mail notices to Fermi Strategies, Inc., Attention: Legal, 205 N Michigan Ave, Suite 810, Chicago, IL 60601. Your notice should include a physical or electronic signature of the copyright owner or authorized agent, identification of the copyrighted work, identification of the allegedly infringing material and where it appears on the Site, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement under penalty of perjury that the information is accurate and that you are authorized to act.

If you believe material was removed or disabled by mistake or misidentification, you may send a counter-notice to hello@fermistrategies.com with the information required by the Digital Millennium Copyright Act. We may terminate or restrict access for repeat infringers where appropriate.

THE SITE AND CONTENT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FERMI STRATEGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, LICENSORS, AND AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND RELIABILITY.

WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, UNINTERRUPTED, CURRENT, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SITE AND CONTENT AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FERMI STRATEGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, liability will be limited to the greatest extent permitted by law.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Fermi Strategies and its officers, directors, employees, contractors, agents, suppliers, licensors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys fees, arising from or related to your User Content, your use or misuse of the Site or Content, your violation of these Terms, or your violation of law or the rights of another person or entity.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with reasonable requests related to that defense.

We may restrict, suspend, or terminate your access to all or part of the Site at any time, with or without notice, if we believe you have violated these Terms, created risk for the Site or other users, or if continued access is no longer appropriate for legal, security, operational, or business reasons.

We may change, suspend, or discontinue all or part of the Site or Content at any time without liability. Sections concerning ownership, User Content licenses, prohibited conduct, disclaimers, limitation of liability, indemnification, governing law, and class action waiver survive termination.

The Site is hosted in the United States. We make no representation that the Site or Content is appropriate or available in every jurisdiction. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local law.

You agree to comply with applicable export control, sanctions, privacy, data protection, and other laws. You may not use or export Content in violation of United States law or the laws of your jurisdiction.

If the Site or Content is used by or on behalf of the United States government, it is provided as commercial computer software and commercial computer software documentation with only those rights granted to other users under these Terms, unless a separate written agreement states otherwise.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes arising from or related to these Terms or the Site, except where applicable law requires otherwise.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy and any separate written agreement that applies to specific services, constitute the entire agreement between you and Fermi Strategies regarding the Site.

Section headings are for convenience only and do not affect interpretation. These Terms bind and benefit the parties and their permitted successors and assigns.

YOU AND FERMI STRATEGIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING.

Unless you and Fermi Strategies agree otherwise, the applicable court may not consolidate or join more than one person's or party's claims and may not preside over any form of consolidated, representative, collective, or class proceeding. The court may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief for that party's individual claim, except to the extent applicable law requires otherwise.
